1. Acceptance of Terms

By accessing medlexltd.com or using our medical transcription services, you (“the Client”) agree to be bound by these Terms and Conditions. If you are entering into this agreement on behalf of a clinic, hospital, or practice, you represent that you have the authority to bind that entity.

2. Description of Services

Medlex Ltd provides professional medical transcription services, converting audio/video recordings provided by the Client into written medical reports, summaries, and documentation.

3. Client Responsibilities

  • Audio Quality: The Client is responsible for providing clear audio recordings. Medlex Ltd is not responsible for delays or inaccuracies caused by poor recording quality, heavy accents, or background noise.

  • Authorization: The Client warrants that they have obtained all necessary patient consents and have the legal right to share Protected Health Information (PHI) with Medlex Ltd for transcription purposes.

4. Accuracy and Final Review

  • Quality Assurance: We strive for 99% accuracy; however, medical transcription is a human-led process.

  • Final Responsibility: The Client (the healthcare provider) maintains ultimate responsibility for the accuracy of the medical record. All transcripts must be reviewed and electronically signed by the authorizing clinician before being placed in a patient’s permanent file. Medlex Ltd is not liable for medical errors resulting from unreviewed transcripts.

  • Revisions: Requests for corrections must be made within [7] business days of delivery.

5. Turnaround Time (TAT)

Medlex Ltd will make every effort to meet the agreed-upon turnaround times (e.g., 24-hour or 48-hour delivery). However, TAT is an estimate and not a legal guarantee, especially in cases of high volume or technical failure.

6. Confidentiality and HIPAA/GDPR Compliance

  • Medlex Ltd agrees to maintain the strictest confidentiality regarding all Client data.

  • We will enter into a Business Associate Agreement (BAA) with US-based clients and a Data Processing Addendum (DPA) with UK/EU-based clients to ensure legal compliance.

  • All transcriptionists are bound by strict Non-Disclosure Agreements (NDAs).

7. Fees and Payment

  • Billing: Services are billed based on [line count/audio minute/per report].

  • Payment Terms: Invoices are due within [15/30] days of the invoice date.

  • Late Fees: Late payments may incur a fee of [1.5%] per month on the outstanding balance.

8. Limitation of Liability

To the maximum extent permitted by law, Medlex Ltd shall not be liable for any indirect, incidental, or consequential damages (including, without limitation, medical malpractice claims, loss of profits, or data breaches) arising out of the use of our services. Our total liability for any claim shall not exceed the amount paid by the Client for the specific service giving rise to the claim.

9. Termination

Either party may terminate the service agreement with [30] days’ written notice. Medlex Ltd reserves the right to suspend services immediately if the Client fails to make timely payments or breaches confidentiality protocols.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of  Kenya
